كتاب حقوق شرکت های تجاری، از سه باب كليات، شرکت های سرمایه، شرکت های اشخاص و شرکت های مختلط تشكيل شده است. <br />
<br />
* باب كليات به دو مفهوم شخصيت حقوقى به عنوان مدخل ورود به بحث روشن ترين مصداق شخصيت حقوقى، يعنى شركت هاى تجاری و مفهوم شركت كه اعم از شركت هاى غير تجارى (عمدتاً شركت مدنى) و شركت هاى تجاری است، میپردازد.<br />
* در باب دوم، شركت هاى سرمايه (عام و خاص) و با مسئوليت محدود متقسم به چهار بخش به شرح زیر به بررسى گذاشته مى شوند:<br />
** بخش اول، به تعريف و ویژگی های اين دو شركت، و وجوه تمايز شركت هاى سهامى عام و خاص با یکديگر از يک سو و تفاوت هاى شركت سهامى با شركت با مسئوليت محدود از سوى ديگر اختصاص يافته است.<br />
** بخش دوم، تشکیل و روند تأسیس هر یک از سه شركت سهامى عام شركت سهامى خاص و شركت با مسئوليت محدود را به تفكيک توضيح مى دهد.<br />
** بخش سوم، ناظر به دوره فعالیت هر یک از آن شركت ها، مفصل ترين بخش كتاب را به دو فصل شكل مى دهد. فصل اول از اين بخش، دوره حيات شركت سهامى مشتمل بر سه گفتار سازمان و اركان شركت هاى سهامى (ركن تصمیم گيرنده یا مجامع عمومى شركا، ركن اداره كننده یا مديران و ركن كنترل كننده یا بازرسان قانونى)، سرمايه و امور مالى و بالاخره اوراق بهادار شرکت هاى سهامى را به تفصيل تجزيه و تحليل مى نمايد. در فصل دوم، دوره حيات شركت با مسئوليت محدود كه به علت عدم تجويز اوراق بهادار (برگ سهام و اوراق مشاركت، قرضه) براى اين شرکت از سوی قانون گذار، تنها در دو گفتار اركان شركت و امور مالى آن مورد مطالعه قرار مى گيرد. بخش جهارم از باب دوم، به آخرين مرحله موجوديت شركت هاى سرمايه يعنى انحلال و تصفيه آنها مى پردازد.<br />
